By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services. These Terms apply to all users of the platform, including event organizers, administrators, staff members, and event attendees ("Users").
1. Description of Services
Tapzyn™ is a commercially sold Software-as-a-Service (SaaS) platform that provides AI-powered event check-in, guest management, QR code generation, transportation tracking, real-time attendance dashboards, and related services to event organizers, businesses, schools, military programs, and other institutions ("Clients").
Services include but are not limited to: guest list management, pre-event registration, day-of check-in via QR code or manual lookup, bus and transportation tracking, role-based staff access, event analytics, and CSV data export. Specific features available to each Client depend on their subscription tier.
2. Accounts and Registration
2.1 Account Creation
To use the platform as an event organizer or staff member, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.2 Organizational Accounts
Clients may create organizational accounts and invite staff members at various permission levels (Organization Admin, Event Manager, Attendant). The organization administrator is responsible for managing access, roles, and permissions within their organization.
2.3 Account Security
You agree to notify us immediately at [email protected] of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3. Acceptable Use
You agree to use our Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You agree not to:
- Use the Services in any way that violates applicable federal, state, local, or international law or regulation
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to Tapzyn™
- Use automated means (bots, scripts, scrapers) to access or collect information from the Services without our express written permission
- Interfere with or disrupt the integrity or performance of the Services or the data contained therein
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission
- Upload guest lists or attendee data that you do not have the legal right to process
- Use the Services to send unsolicited communications (spam) to event attendees
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
4. Client Responsibilities and Data Ownership
4.1 Client Data
Clients retain ownership of all event data, guest lists, and attendee information they upload to or generate within the platform ("Client Data"). Tapzyn™ processes Client Data solely on behalf of the Client and in accordance with these Terms and our Privacy Policy.
4.2 Client Obligations
Clients are responsible for:
- Ensuring they have the legal right to collect and process the personal information of their event attendees
- Providing appropriate privacy notices to their attendees regarding the use of Tapzyn™
- Obtaining any required consents, including parental consent for minors
- Complying with all applicable privacy laws, including FERPA (for educational institutions), COPPA (for events involving children under 13), and applicable state privacy laws
- Ensuring that staff members with platform access use it responsibly and in accordance with these Terms
4.3 FERPA Obligations for Educational Institutions
Educational institutions using Tapzyn™ to manage events involving students acknowledge that Tapzyn™ acts as a "school official" with a "legitimate educational interest" as defined under FERPA, 20 U.S.C. § 1232g. The educational institution remains the data controller and is responsible for ensuring that its use of Tapzyn™ complies with FERPA, including providing required notices to students and parents and honoring requests for access, correction, or deletion of student education records.
5. Subscription Plans and Billing
5.1 Subscription Tiers
Tapzyn™ offers multiple subscription tiers with different feature sets and usage limits. Current pricing and plan details are available at tapzyn.com. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
5.2 Payment
Subscription fees are billed in advance on a monthly or annual basis through our payment processor (Stripe). By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as required by law or as expressly stated in these Terms.
5.3 Free Tier
A free tier is available with limited features and usage. We reserve the right to modify or discontinue the free tier at any time with 30 days' notice.
5.4 Cancellation
You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds are provided for unused portions of a subscription period.
6. Intellectual Property
All content, materials, software, and technology comprising the Tapzyn™ platform — including but not limited to text, graphics, logos, images, videos, source code, and AI-generated outputs produced by the platform — are the property of Asymit Marketing LLC or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. You may not use, modify, reproduce, distribute, or display any proprietary materials without our prior written consent.
The Tapzyn™ name, logo, and all related marks are trademarks of Asymit Marketing LLC. Asymit® is a registered trademark. Unauthorized use of these marks is prohibited.
7. Privacy and Data Security
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the data practices described in the Privacy Policy.
We implement industry-standard security measures including TLS encryption in transit, AES-256 encryption at rest, bcrypt password hashing, JWT-based authentication, and role-based access controls. See our Privacy Policy for full details.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not warrant the accuracy, completeness, or usefulness of any information provided through the Services. Any reliance you place on such information is strictly at your own risk.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASYMIT MARKETING LLC DBA TAPZYN™, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO TAPZYN™ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Asymit Marketing LLC dba Tapzyn™ and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third party's rights, including privacy rights; or (e) any data you upload or process through the Services.
11. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Services.
Upon termination, your right to use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be exclusively resolved by the state or federal courts located in Broward County, Florida, and you hereby consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of 30 days.
13. Modifications to These Terms
We reserve the right to modify or revise these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
14. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tapzyn™ regarding your use of the Services and supersede all prior agreements.
